WeWork sues SoftBank after US$3 billion tender offer falls through – Finance- Tempemail – Blog – 10 minute

WeWork’s owner, The We Company, has sued SoftBank, challenging its largest shareholder’s decision to terminate a US$3 billion tender offer for shares in the office-space sharing firm.
An independent two-member special committee of The We Company’s board filed the lawsuit, saying that SoftBank had breached its contractual obligations by abandoning the tender offer.
“The Special Committee regrets the fact that SoftBank continues to put its own interests ahead of those of WeWork’s minority stockholders,” it said in the lawsuit filed in the Chancery Court of Delaware.
Last week, SoftBank said it terminated the proposed tender offer for additional WeWork shares, citing criminal and civil probes into the startup, its failure to restructure a joint venture in China and the impact of the coronavirus pandemic.
WeWork has been hit particularly hard by the outbreak, as its occupancy rates have plunged over the past month and its largest clients have been forced to vacate.
WeWork, however, has said it has enough cash and cash commitments to execute its five-year plan and manage the challenges posed by the coronavirus crisis.
In the lawsuit, which was widely expected after the tender offer fell through, the special committee called SoftBank’s decision to terminate the tender offer “wrongful” and alleged that SoftBank had breached its obligations under the master transaction agreement (MTA).
“SoftBank’s failure to consummate the tender offer is a clear breach of its contractual obligations under the MTA as well as a breach of SoftBank’s fiduciary obligations to WeWork’s minority stockholders, including hundreds of current and former employees,” the special committee said.
The tender offer, which would have mostly benefited a select group of shareholders, including ousted co-founder Adam Neumann, had been agreed in October as part of a bailout plan by SoftBank after WeWork’s IPO plans imploded.
Investors had been concerned about the company’s losses, Neumann’s leadership style and a business model that involves taking long-term leases and renting out spaces for a short term.
In October, WeWork had formed the two-member special committee to help negotiate a financing lifeline from SoftBank and its main lender JPMorgan Chase & Co .
The committee comprises Bruce Dunlevie, who is a general partner at WeWork shareholder Benchmark Capital, and Lew Frankfort, who is the former CEO of luxury handbag maker Coach.
In Tuesday’s statement, the special committee called on SoftBank to complete the tender offer or pay alternative compensatory damages for “breaches of contract and fiduciary duty.”
A SoftBank spokeswoman declined to comment.

Another Aussie logistics company falls prey to ransomware – Security- Tempemail – Blog – 10 minute

Australia and New Zealand logistics provider Henning Harders has been attacked by ransomware criminals who are threatening to publish information stolen from the company on the web.
Henning Harders said its cargo tracking system is unavailable as of Sunday March 15 when the company “became aware of unusual activity on our systems which appears to be the result of an organised attack.”
Some customer commercial data may have been accessed, Henning Harders said, and added that it has no evidence at this stage of it being misused.
Ransomware criminals Maze have claimed responsibility for the March 15 attack but not yet published any of the data that might have been taken.
Henning Harders said it has contacted customers affected by the ransomware attack, and said the impact on them has been minimal.
The logistics company has engaged what it says is a leading cyber forensics firm to conduct an urgent investigation and commenced a comprehensive internal review of its systems and processes following the attack.
Another logistics provider, Toll Group, anncouned that it is back to normal operations yesterday after a Mailto ransomware attack six weeks ago. 
The attack on Toll Group saw up to 1000 servers being hit by ransomware, which impacted around 500 corporate applictions and compromised Active Directory systems serving the company.

Gaming hardware, software spending falls again as consumers wait for next-gen consoles – Blog – 10 minute

In a nutshell: It’s been another depressing month for the video games industry, with spending across hardware, software, and accessories all down by double digits compared to the same period one year ago. As has been the case for a while, consumers are holding back their spending in anticipation of the PS5 and Xbox Series X.
According to industry-tracking firm the NPD group, total video game sales for February 2020 totaled $755 million, a 29 percent year-on-year decline. Hardware saw the most significant percentage change, down 34 percent from $277 million to $183 million, while software was down from $477 million to $307 million (31 percent). Accessories and game cards, meanwhile, fell 11 percent from $308 million to $265 million.
Last month was a quiet one when it came to new game releases, with February’s most popular new title—The Yakuza Remastered Collection—only managing to place 33rd on the best-seller list. The dry spell was in contrast to February 2019, which saw Anthem, Far Cry: New Dawn, Metro: Exodus, and Jump Force all launch.

Call of Duty: Modern Warfare remains the best-selling game for another month. It’s also the best-selling game over the 12-month period ending February. We saw Tom Clancy’s The Division 2 return to the charts at number five, thanks to its recent promotion that dropped the price down to $2.99. Nintendo’s Ring Fit Adventure was up one place, and it could quickly rise higher after reports of it selling out as people avoid gyms and outdoor exercise during the coronavirus outbreak.
While sales of the PS4 and Xbox One consoles continue to fall as their successors get closer, the Nintendo Switch beat the older competition in terms of both units sold and dollar sales. “And [it] remains the best-selling hardware platform of the year.” Said NPD analyst Mat Piscatella, via VentureBeat.

President Trump falls foul of Facebook political ad rules- Tempemail – Blog – 10 minute

Facebook has bared its teeth ahead of president Trump’s re-election campaign by ejecting misleading census ads from its platform.
Laying out its red line Facebook said it would maintain a relaxed attitude to political advertising of questionable validity but would not abide any interference with the 2020 national census, part of a broader push back against disinformation.
The issue was brought to the fore by a campaign advert published by Trump Make America Great Again which, directly linking an impartial government survey with a partisan Trump campaign that had potential to sow confusion around the timing of the decadal population count.
The advert read: “President Trump needs you to take the Official 2020 Congressional District Census today. We need to hear from you before the most important election in American history.” Audiences were then directed to text ‘TRUMP to 8022’ in response.
Thus far Facebook has adopted a lenient approach to political messages, permitting candidates to communicate misleading information in highly targeted campaigns but draws a line in the sand over misrepresentation of dates, locations, times and methods for census participation.
Explaining its action Facebook said in a statement: “There are policies in place to prevent confusion around the official US census and this is an example of those being enforced.”
Civil rights activists welcomed the ban but criticised Facebook for not removing the material immediately, with questions still being asked about the role and impact of Facebook in the 2020 presidential election after the firm defied congressional pressure by continuing to permit outright lies in political adverts.
Seeking to adopt a more conciliatory approach Facebook has in recent months sought to be more transparent about political advertising conducted behind its walls with the introduction of an ad verification tool, although the system is only mandatory in a handful of countries.
Social rival Twitter has sought to differentiate itself by enforcing an outright ban on political adverts, a toughened stance that embarrassed Michael Bloomberg by calling out ‘platform manipulation’ and spam originating from his digital campaign.

US falls further down the broadband price table, Syria tops the list as the cheapest – Blog – 10 minute

In this year’s worldwide pricing table, the United States was found to be more expensive than 118 other nations. The cheapest country, meanwhile, is Syria, though there are good reasons for that.

Canada, on the other hand, has more reasonable broadband prices. Its average cost is $34.86 per month, marking a $22.8 YoY decrease as the country moves from 86th position to 69.
If you want the cheapest broadband in the world, look to Syria, where the average price is $6.60 per month and the lowest coming in at $2.52. It’s noted that this is largely due to the ongoing collapse of the Syrian pound and the war. Plus, the average speeds are just 0.9Mbps.
The rest of the cheapest countries are made up of Ukraine ($6.64), Russia ($7.35), Romania ($8.15), and Belarus ($9.87). The most costly area is the African nation of Eritrea, where the average price is $2,666 per month, and the most expensive package reaches $15,051.

The other most expensive consumer broadband packages on the planet are found in Mauritania ($1333.78), Turks and Caicos Islands ($1488.11), Mauritania ($4386.95), and Yemen ($8333.33).
“The expense comes from a combination political climate, warfare, of extremely low take-up (no economy of scale) and the fact that in most cases the price you pay will go in large part to actually building a physical line to your property since few already exist. These ‘works costs’ rise exponentially the further your abode sits from each country’s main urban centers.”

Google Falls to Third in Smart Speakers Behind Baidu and Amazon

Amazon’s original Echo speaker seemed like something no one would want when it launched in 2014. That feels like ages ago because consumers are now happily gobbling up smart speakers with always-on voice assistant features. After rising to the number two spot behind Amazon, Google has now seen its market share drop as China’s Baidu grows by leaps and bounds. Meanwhile, Amazon has continued advancing. 

The smart speaker market is potentially worth billions of dollars, but it also pumps up interest in other smart home devices like cameras, locks, and sensors with which the speakers can communicate. Amazon has moved aggressively to acquire smart home companies like Eero, Ring, Blink, and more. As for Google, it has a full lineup of Nest thermostats, cameras, and other devices that play nicely with Google Home speakers out of the box. Plus, everyone using an Android phone already has Assistant. 

In the most recent quarter, Amazon saw sales of smart speakers with Alexa grow by 61.1 percent. That leaves Amazon with 25.4 percent of the market. Google is down almost 20 percent year-over-year, leaving it with 16.7 percent of the smart speaker market. That’s just low enough that Baidu managed to slide into second place with 17.3 percent. Baidu sells speakers in China where Google Assistant and Amazon Alexa do not operate, and there’s clearly pent-up demand. Baidu’s speakers run the company’s DuerOS assistant that is geared toward Chinese users. It has also worked to get DuerOS into as many form factors as possible. There are Echo-like speakers, ceiling-mounted lights, displays, and more. Amazon has also been cranking out new speakers — it released updated versions of the Echo Show smart display and several Echo speakers in the last year. 

Google has been chugging along with the same Home-branded speakers for a few years now. The original 2016 Google Home is still the heart of Google’s product lineup along with the budget Home Mini and premium Home Max. However, the Home doesn’t have as much power as newer Amazon devices like the Echo Plus. It’s probably time for Google to refresh its speaker lineup if it wants to stay competitive with Amazon.

Google falls to third place in worldwide smart speaker market – gpgmail


The global smart speaker market grew 55.4% in the second quarter to reach 26.1 million shipments, according to a new report from Canalys. Amazon continued to lead the race, accounting for 6.6 million units shipped in the quarter. Google, however, fell to the third spot as China’s Baidu surged ahead. Baidu in Q2 grew a sizable 3,700% to reach 4.5 million units, overtaking Google’s 4.3 million units shipped.

China’s market overall doubled its quarterly shipments to 12.6 million units, or more than twice the U.S.’s 6.1 million total. The latter represents a slight (2.4%) decline since the prior quarter.

Baidu’s growth in the quarter was attributed to aggressive marketing and go-to-market campaigns. It was particularly successful in terms of smart displays, which accounted for 45% of the products it shipped.

“Local network operators’ interests on the [smart display] device category soared recently. This bodes well for Baidu as it faces little competition in the smart display category, allowing the company to dominate in the operator channel,” noted Canalys Research Analyst Cynthia Chen.

Meanwhile, Google was challenged by the Nest rebranding in Q2, the analyst firm said.

The report also suggested that Google should introduce a revamped smart speaker portfolio to rekindle consumer interest. The Google Home device hasn’t been updated since launch — still sporting the air freshener-style looks it had back in 2016. And the Google Home mini hasn’t received much more than a color change.

Instead, Google’s attention as of late has been on making it easier for device manufacturers to integrate with Google Assistant technology, in addition to its increased focus on smart displays.

Amazon, by comparison, has updated its Echo line of speakers several times while expanding Alexa to devices with screens like the Echo Spot and Show, and to those without like the Echo Plus, Echo Dot, Echo Auto and others — even clocks and microwaves — as sort of public experiments in voice computing.

That said, both Amazon and Google turned their attention to non-U.S. markets in Q2, the report found. Indeed, 50% of Amazon’s smart speaker shipments were outside the U.S. in Q2, up from 32% in Q2 last year. And 55% of Google’s shipments were outside the U.S., up from 42% in Q2 2018.

Beyond the top 3 — Amazon, Baidu and now No. 3 Google — the remaining top five included Alibaba and Xiaomi, with 4.1 million and 2.8 million units shipped in Q2, respectively.

The rest of the market, which would also include Apple’s HomePod, totaled 3.7 million units.
